These official rules (“Official Rules”) apply to this Giveaway (as defined below). The New York Red Bulls General Giveaway Rules and Standard Terms and Condition (“General Rules”), as set forth in Appendix A, are hereby incorporated by reference and apply to this Giveaway. If there is a conflict between the Official Rules and the General Rules, the Official Rules shall control.

Promotion Periods

Begins October 22, 2023, at 08:00 a.m. Eastern, and ends October 23, 2023, at 5:00 p.m. Eastern (the “Promotion Period”)

Age

Must be 18 or older. The Giveaway winner will be required to provide proof of name, age and address.

Residency

Must be a US resident.

SSN/TIN

Must have valid social security or tax identification number and proof of residency.

Social Media Account

Must be the authorized account holder of one of the following social media platforms: Instagram, Facebook, or X (formally known as Twitter) account (“Social Media Account”).  Employees or agents of RBNY, RBA, RBNY Academy, Inc., Red Bull North America, Inc., Major League Soccer, LLC (“<strong>MLS</strong>”), Soccer United Marketing, LLC (“<strong>SUM</strong>”), Player Development, LLC (“<strong>PDEV</strong>”), Pro Soccer Development, LP (“<strong>MLSNP</strong>”), and each of the MLS Clubs (collectively with MLS, SUM, PDEV, and MLSNP, the “<strong>MLS Entities</strong>”) and their respective parent companies, subsidiaries, affiliates, advertising agencies, public relations agencies, prize suppliers, including any vendors providing services in connection with this Giveaway (collectively, the “<strong>Sponsor Affiliates</strong>”), and employees, agents, directors, officers (including members of their immediate family – i.e., spouse, mother, father, in-laws, grandmother, grandfather, brother, sister, children and grandchildren – or those living in the same household) of Sponsor or any Sponsor Affiliates are not eligible to participate in the Giveaway.

To Enter:

Please complete the following steps during the applicable Promotion Period:

1. Complete the New York Red Bulls Expo Latino x Red Membership Giveaway advertisement displayed at the Expo Latino event on October 22, 2023 or complete the form via email;

2. As prompted, enter requested contact information or confirm auto-populated information entry form;

3. Review the “Terms and Conditions”; and
4. Accept the “Terms and Conditions” and enter the Giveaway by clicking the “Submit” button at the bottom of the entry form.

Upon completing the above steps 1-4 you will receive one entry into the Giveaway.

Entry Limits

One entry per person during the Promotion Period. In the event of multiple entries being received from the same individual only the first entry will be accepted.

Prize and Prize Value

The winner will receive a one (1) 2024 Red Membership in the Upper Corners/Endline section (collectively, the “Prize”).

The approximate value of the Prize is $531.00. Federal, state, or local taxes on the Prize, if any, and any other costs, fees or expenses not listed above are the sole responsibility of the potential Giveaway winner.

There will be one (1) winners.

Winner Selection Method and Odds

RBNY will conduct a random drawing during the Promotion Period among all eligible entries received. The decisions of RBNY are final and binding on all matters relating to this Giveaway. Odds of winning depends on number of eligible entries received.

October 24, 2023, at or before 5 p.m. EDT.

Winner Notification Method

The winner will be contacted via email and will have to verify their name, age and address with a government-issued form of identification within twenty-four (24) hours following the time RBNY sends the email notification.

GENERAL GIVEAWAY RULES/ STANDARD TERMS AND CONDITIONS

These general giveaway rules/standard terms and conditions (“General Rules”) apply to all giveaways (each, a “Giveaway”) that are conducted by RBNY (“Sponsor”). Each Giveaway may have its own specific rules which will be set forth in the official rules for that Giveaway (each, an “Official Rules”). The Official Rules will be posted on the applicable website. If there is a conflict between the Official Rules for a Giveaway and these General Rules, the Official Rules shall control.

TIME: Unless otherwise specified, the time of eligibility shall be determined by Sponsor’s timekeeping systems, and Sponsor may also rely on the time processing functions of any eligible social media platforms (“Social Media Sites”). Sponsor shall have the sole discretion in determining the timeliness of any action or inaction related to the Giveaway (as defined in the Official Rules).

ENTRY: Unless otherwise specified, one (1) entry per person during each Promotion Period (as defined in the Official Rules). Sponsor is not responsible for lost, late, misdirected entries or entries not received regardless of cause. In the event of a dispute over who submitted an entry, the entry will be deemed to have been directly submitted by the authorized account holder of the Social Media Site account used to enter the Giveaway. The authorized account holder is deemed to be the natural person who is assigned to the account by the relevant Social Media Site responsible for assigning those accounts. By submitting an entry and/or participating in the Giveaway, entrants unconditionally agree to be bound by the Official Rules, General Rules, Sponsor’s Privacy Policy as set forth below, the applicable privacy policy of the respective Social Media Site used to enter the Giveaway and the applicable terms or service of the respective Social Media site used to enter the Giveaway.

WINNER SELECTION: Unless otherwise specified, odds of winning will depend upon the number of eligible entries received and/or the relative performance of each participants entry. The potential prize winners are subject to verification of eligibility and compliance with these General Rules and the Official Rules.

PRIZE: Unless otherwise specified, event tickets, coupons, and vouchers given as part of any prize are subject to additional terms and conditions found on the back thereof or provided in electronic format where relevant. UNLESS OTHERWISE SPECIFIED, TRANSPORTATION, FOOD AND LODGING ARE NOT INCLUDED AS PART OF ANY PRIZE.

All prizes are awarded “AS IS.” Neither Sponsor nor Sponsor Affiliates make or offer any warranty or guarantee, either express or implied (including, without limitation, quality, merchantability and fitness for a particular purpose) in connection with the Giveaway or any prize. Prize details and availability are subject to change, in which case a prize of equal value may be substituted at Sponsor’s sole discretion. Prizes consist only of the item(s) listed in the Official Rules and are non-transferable, with no cash redemption or substitution, except at Sponsor’s sole discretion. Sponsor will determine all prize details (event, brand, model, size, etc.) in its sole discretion. Federal, state, or local taxes on prizes, if any, and any other costs, fees or expenses not listed above are the sole responsibility of the potential Giveaway winner.

Should ticket(s) be awarded as part of any prize, no refund or compensation will be paid in the event of the cancellation or delay of any portion of the ticket prize (“Event”), or any portion thereof. Neither Sponsor nor Red Bull New York, Inc., will be liable if the Event, or any portion of it, is cancelled or delayed. Sponsor and/or Red Bull New York, Inc. may, in its sole discretion, attempt to reschedule for a future trip/event. Event tickets are subject to certain terms and conditions as specified by issuer. The terms and conditions of the Event tickets may govern if the Event is cancelled due to weather, an act of God, an act of terrorism, civil disturbance or any other reason. Neither Sponsor nor Red Bull New York, Inc. are responsible for, and will not replace, lost, mutilated, or stolen Event tickets, vouchers, wristbands, or certificates. Exact details, including seat locations, shall be determined in the sole discretion of Sponsor.

NOTIFICATION: Sponsor may require the potential prize winner to verify that he or she is the owner of the Social Media Site account. The potential prize winner must respond to the notification message and provide all requested information within twenty-four (24) hours of the first contact or attempted contact from Sponsor, or the prize may be forfeited. Sponsor may require winner and his/her guest to complete, sign, and return an Affidavit of Eligibility/Liability Release/Publicity Release forms and other applicable documents. All required documents must be completed and returned to Sponsor within twenty-four (24) hours of the date and time listed on the documents. If a potential prize winner cannot be contacted, is disqualified, fails to timely execute and return any required forms, an alternate winner may be selected from among the remaining eligible entries.

PUBLICITY & MARKETING: Submission of an entry and participation in the Giveaway constitutes permission, but not the obligation, to the Sponsor, Red Bull Arena, Inc., the MLS Entities and their respective directors, officers, employees, agents and assigns to use entrant’s name, identity, title, likeness, distinctive appearance, physical likeness, image, portrait, picture, photograph (whether still or moving), screen persona, voice, vocal style, statements, gesture, mannerism, personality, performance characteristic, biographical data, signature, and any other indicia or imitation of identity or likeness for purposes of advertising and trade, in any medium, now or hereafter developed, in perpetuity, without further notice, approval, or compensation, unless prohibited by law. Submission of contact information in connection with this Giveaway (whether or not required), including, without limitation, mailing address, phone number, and email address, during entry constitutes permission for Sponsor, Red Bull New York, Inc., Red Bull Arena, Inc., each of the MLS Entities and their respective directors, officers, employees, agents and assigns to use entrant’s personal information for purposes of administration of the Giveaway. You also may opt-in to be added to Red Bull New York, Inc.’s customer database and to permit Red Bull New York, Inc., and each of the MLS Entities and their respective directors, officers, employees, agents and assigns to contact you in the future for promotional and other reasons. You may opt-out of receiving such communications as set forth in Red Bull New York, Inc.’s Privacy Policy (located at www.mlssoccer.com/privacy-policy), or as provided within any such marketing materials (e.g., using the “Unsubscribe” feature provided in the footer of Sponsor’s e-mails). You understand that you are providing your information to Red Bull New York, Inc. The information you provide to Red Bull New York, Inc. will only be used in accordance with Red Bull New York, Inc.’s Privacy Policy. You also confirm that you understand that your personal data will be processed by the Sponsor and you consent to being contacted by the Sponsor for marketing purposes using the contact details you provided in connection with your participation in Giveaway.

NO LIABILITY & INDEMNIFICATION: By entering the Giveaway, you agree to release, discharge and hold harmless Sponsor, Red Bull New York, Inc., Red Bull Arena, Inc., the MLS Entities, Sponsor Affiliates, and their respective directors, officers, employees, agents, assigns, affiliates, subsidiaries, licensees, distributors, dealers, retailers, printers and advertising and promotion agencies (the “Released Parties”) from any claims, injury, death, losses, and/or damages that may occur, directly or indirectly, whether caused by negligence or not, arising out of, or relating to, your participation in this Giveaway or any Giveaway-related activities (including, without limitation, attending the Event) and the acceptance and use, misuse, or possession of any prize awarded hereunder (including, without limitation, any misrepresentation made by you in connection with the Giveaway; any non-compliance by you with these General Rules or the Official Rules; claims brought by persons or entities other than the parties to these General Rules or the Official Rules arising from or related to your involvement with the Giveaway; acceptance, possession, misuse or use of any prize or participation in any Giveaway-related activity or participation in the Giveaway; any malfunction, error or other problem arising in connection with the collection, processing, or retention of entry information; or any typographical or other error in the printing, offering or announcement of any winner). The foregoing includes, without limitation, any claim for personal injury, property loss or damage, or death arising in any way in connection with the Giveaway.

If Sponsor’s or Red Bull New York’s use of an Entry causes Sponsor and/or Red Bull New York, Inc. to be subject to a claim by any third party (including, but not limited to, a claim of infringement), such participant agrees to indemnify and hold harmless the Released Parties, and all persons acting by, through, under or in concert with them, against any and all damages, costs, judgments and expenses (including reasonable attorney’s fees) which the Released Parties (or any one of them) may incur as a result of the use of your Entry.

OTHER TERMS: Decisions of Sponsor on all matters related to the Giveaway are final and binding. Sponsor reserves the right to cancel or modify the Giveaway for any reason, including but not limited to, if fraud, misconduct or technical failures destroy the integrity of the Giveaway, or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper administration of the Giveaway as determined by Sponsor, in its sole discretion. Sponsor reserves the right to disqualify or prohibit the participation of an individual if fraud or tampering is suspected, or if the individual fails to comply with any requirement of participation or with any provision in these General Rules or the Official Rules. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE OPERATION OF THE GIVEAWAY MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND/OR SEEK DAMAGES FROM ANY INDIVIDUAL MAKING ANY SUCH ATTEMPTS TO THE FULL EXTENT PERMITTED BY APPLICABLE LAW.

GOVERNING LAW & MANDATORY ARBITRATION: Any disputes arising under the Giveaway, these General Rules, and/or these Official Rules will be governed by relevant U.S. federal statutes and regulations and the internal laws of the State of New York. Sponsor and each entrant agree that any such claim or dispute between the parties, or between a party and any agent, employee, successor, or assign of the other, related to this Giveaway, these General Rules, and/or these Official Rules (including the applicability of this arbitration clause) shall be resolved by binding arbitration administered by the JAMS under its rules and procedures in effect when the claim is filed. The rules and procedures and other information, including information on fees, may be obtained from JAMS’ website (www.jamsadr.com) or by calling JAMS at 949-224-1810. Any award by the arbitrator(s) may be entered as a judgment in any court having jurisdiction.

RIGHT TO DISQUALIFY: Sponsor reserves the right to disqualify or prohibit the participation of an individual if fraud or tampering is suspected; if the individual fails to comply with any requirement of participation or with any provision in these General Rules or the Official Rules; if the individual’s behavior or communication at any point is disruptive, may or does cause damage or to any person, property, or reputation of Sponsor, or is otherwise not in accordance with all applicable laws and generally accepted social practices as determined in Sponsor’s sole discretion.

SEVERABILITY: If any provision(s) of these General Rules or the Official Rules are held to be invalid or unenforceable, all remaining provisions thereof will remain in full force and effect.

NO AFFILIATION WITH SOCIAL MEDIA PLATORMS: Unless otherwise specified, the Giveaway is in no way sponsored, endorsed or administered by, or associated with any Social Media platform or any other named or depicted people or entities other than Sponsor. Any questions, comments or complaints regarding the Giveaway should be directed to Sponsor.
